SETTING UP A BRANCH OF A FOREIGN COMPANY IN DUBAI

The following documents (notarized and/or attested as indicated) are required from the applicant before a Certificate of Branch Registration and Commercial License can be issued:

Documents Required

  • Stage 1: (Provisional Approval)
    • Application Form
    • Passport copies for General Manager
    • Company Incorporation Certificate – of parent company
    • Certificate of Continuity or Existence or Good Standing – of parent company
    • MoA and AoA of Parent Company
  • Stage 2: (Registration)
    • Resolution for the Incorporation of an branch of a foreign company, to view the template – click here
  • Conditional Documents
    • Declaration of Appointment as General Manager
    • Approval document or No Objection letter from a government authority if the company is undertaking a business activity that requires such approval (View Details)
    • Power of Attorney for Legal Representative/ Negotiator (if any), accompanied by passport copy of legal representative

 

Required are the key steps for setting up a Foreign branch office in Dubai and the rest of the UAE

Fees

  • Registration Fees AED 3500.00
  • License Fees (As per the Decision)

An additional fee of AED 10 as “Knowledge Dirham” and AED 10 as “Innovation Dirham” is applicable per transaction.

Duration

  • Process Duration Stage 1: 10 working days
  • Process Duration Stage 2: 2 working days

Important Notes:

  • All required documents more than one page must be sealed, notarized & attested.
  • Powers of Attorney need to be accompanied with a valid passport copy of the Attorney.
  • The Authority reserves the right to ask for any extra documents, it may deem require.
  • Board Resolution and/or Power of Attorney for the General Manager must state the General Manager’s full name as per passport including nationality and valid passport number.
  • The required documents must be in English and / or Arabic. Documents in any other language must be accompanied by a certified English or Arabic translation.
  • Where the application form is completed and signed by the applicant in person at the Dubai Development Authority, the applicant’s signature will be certified by Dubai Development Authority personnel.
  • Where the application form is completed and signed by the applicant outside the Dubai Development Authority, the applicant will need to have his/her specimen signature notarized.

 

  • It is mandatory for any foreign company to appoint a local service agent to handle the process. Additionally, the agent must be a UAE national or a company owned completely by a UAE national.
  • The agent then completes the trade name reservation process. They process this through the Department of Economic Development (DED)
  • Obtaining Approval from the Ministry of Economy and a license from the Department of Economic Development
  • The Ministry of Economy (MOE) will issue the initial approval letter to either the Abu Dhabi Department of Economic Development (ADED) or the Dubai Department of Economic Development (DDED).
  • Documents required include MOE initial approval, copy of the proposed lease in UAE (Tawtheeq in AD, Ejari in Dubai). Also required are copies of documents submitted to MOE and an engagement letter from a locally registered UAE auditor confirming company existence.
  • The DED issues a commercial license for one year and is subject to annual renewal
  • Office Space and Bank Accounts
  • Apply for visa and labor cards for employees.

It is important to adhere to this process along with payment of the associated fees to complete the setup of a foreign branch office.
